利用規約

この利用規約（以下、「本規約」といいます。）は、MSWWork（以下、「当方」といいます。）が提供するサービス（以下、「本サービス」といいます。）の利用条件を定めるものです。ユーザーの皆さま（以下、「ユーザー」といいます。）には、本規約に従って本サービスをご利用いただきます。

第1条（適用）

本規約は、ユーザーと当方の本サービスの利用に関わる一切の関係に適用されるものとします。本サービスに関し、本規約のほか、ご利用にあたってのルール等、各種の定め（以下、「個別規定」といいます。）をすることがあります。これら個別規定は、その名称のいかんに関わらず本規約の一部を構成するものとします。本規約の規定が個別規定と矛盾する場合は、特段の定めがない限り、個別規定が優先されるものとします。

第2条（利用登録）

本サービスの利用に際して登録が必要な場合、登録希望者が当方の定める方法によって利用登録を申請し、当方がこれを承認することによって利用登録が完了するものとします。登録が不要なサービスにおいては、本規約に同意することにより、すぐにサービスを利用開始できます。

第3条（利用料金および支払方法）

ユーザーは、基本無料で本サービスをご利用いただけますが、一部本サービスを有料にて提供する可能性があります。有料部分の対価として、当方が別途定め、本ウェブサイトまたはアプリに表示する利用料金を当方が指定する方法により支払うものとします。

第4条（禁止事項）

ユーザーは、本サービスの利用にあたり、以下の行為をしてはなりません。

  • 法令または公序良俗に違反する行為
  • 犯罪行為に関連する行為
  • 本サービスの内容等、本サービスに含まれる著作権、商標権ほか知的財産権を侵害する行為
  • 当方、本サービス、ほかのユーザー、またはその他第三者のサーバーまたはネットワークの機能を破壊したり妨害したりする行為
  • 本サービスによって得られた情報を商業的に利用する行為
  • 本サービスの運営を妨害するおそれのある行為
  • 不正アクセスをし、またはこれを試みる行為
  • 他のユーザーに関する個人情報等を収集または蓄積する行為
  • 不正な目的を持って本サービスを利用する行為
  • 本サービスの他のユーザーまたはその他の第三者に不利益、損害、不快感を与える行為
  • 他のユーザーに成りすます行為
  • 許諾のない本サービス上での宣伝、広告、勧誘、または営業行為
  • 面識のない異性との出会いを目的とした行為
  • 本サービスに関連して反社会的勢力に対して直接または間接に利益を供与する行為
  • その他、当方が不適切と判断する行為

第5条（本サービスの提供の停止等）

  1. 当方は、以下のいずれかの事由があると判断した場合、ユーザーに事前に通知することなく本サービスの全部または一部の提供を停止または中断することができるものとします。
    • 本サービスにかかるコンピュータシステムの保守点検または更新を行う場合
    • 地震、落雷、火災、停電または天災などの不可抗力により、本サービスの提供が困難となった場合
    • コンピュータまたは通信回線等が事故により停止した場合
    • その他、当方が本サービスの提供が困難と判断した場合
  2. 当方は、本サービスの提供の停止または中断により、ユーザーまたは第三者が被ったいかなる不利益または損害についても、一切の責任を負わないものとします。

第6条（利用制限および登録抹消）

  1. 当方は、ユーザーが以下のいずれかに該当する場合には、事前の通知なく、ユーザーに対して本サービスの全部もしくは一部の利用を制限し、またはユーザーとしての登録を抹消することができるものとします。
    • 本規約のいずれかの条項に違反した場合
    • 登録事項に虚偽の事実があることが判明した場合
    • 料金等の支払債務の不履行があった場合
    • 当方からの連絡に対し、一定期間返答がない場合
    • 本サービスについて、最終の利用から一定期間利用がない場合
    • その他、当方が本サービスの利用を適当でないと判断した場合
  2. 当方は、本条に基づき当方が行った行為によりユーザーに生じた損害について、一切の責任を負いません。

第7条（保証の否認および免責事項）

  1. 当方は、本サービスに事実上または法律上の瑕疵（安全性、信頼性、正確性、完全性、有効性、特定の目的への適合性、セキュリティなどに関する欠陥、エラーやバグ、権利侵害などを含みます。）がないことを明示的にも黙示的にも保証しておりません。
  2. 当方は、本サービスに起因してユーザーに生じたあらゆる損害について、故意又は重過失による場合を除き、一切の責任を負いません。
  3. 当方は、ユーザーと他のユーザーまたは第三者との間において生じた取引、連絡または紛争等について一切責任を負いません。

第8条（サービス内容の変更等）

当方は、ユーザーへの事前の告知をもって、本サービスの内容を変更、追加または廃止することがあり、ユーザーはこれに同意するものとします。

第9条（利用規約の変更）

  1. 当方は以下の場合には、ユーザーの個別の同意を要することなく、本規約を変更することができるものとします。
    • 本規約の変更がユーザーの一般の利益に適合するとき
    • 本規約の変更が本サービス利用契約の目的に反せず、かつ、変更の必要性、変更後の内容の相当性その他の変更に係る事情に照らして合理的なものであるとき
  2. 当方は前項による本規約の変更にあたっては、事前に、本規約を変更する旨及び変更後の本規約の内容並びにその効力発生時期を本サービス内または本サービスウェブサイトへの掲載その他の適切な方法によりユーザーに周知するものとします。

第10条（個人情報の取扱い）

本サービスの利用によって取得する個人情報については、当方「プライバシーポリシー」に従い適切に取り扱うものとします。

第11条（通知または連絡）

ユーザーと当方との間の通知または連絡は、当方の定める方法によって行うものとします。当方は、ユーザーから、当方が別途定める方式に従った変更届け出がない限り、現在登録されている連絡先が有効なものとみなして当該連絡先へ通知または連絡を行い、これらは、発信時にユーザーへ到達したものとみなします。

第12条（権利義務の譲渡の禁止）

ユーザーは、当方の書面による事前の承諾なく、利用契約上の地位または本規約に基づく権利もしくは義務を第三者に譲渡し、または担保に供することはできません。

第13条（準拠法・裁判管轄）

  1. 本規約の解釈にあたっては、日本法を準拠法とします。
  2. 本サービスに関して紛争が生じた場合には、当方の所在地を管轄する裁判所を専属的合意管轄とします。

Terms of Service

These Terms of Service (the "Terms") set forth the conditions for using the services (the "Service") provided by MSWWork ("we", "us", or "our"). Users ("User" or "you") shall use the Service in accordance with these Terms.

Article 1 (Application)

These Terms shall apply to all relationships between the User and us regarding the use of the Service. In addition to these Terms, we may establish various rules and guidelines (the "Individual Provisions") for the use of the Service. These Individual Provisions, regardless of their name, shall constitute a part of these Terms. If these Terms conflict with any Individual Provisions, the Individual Provisions shall take precedence unless otherwise specified.

Article 2 (Registration)

Where registration is required to use the Service, a prospective user shall apply for registration in the manner prescribed by us, and registration shall be completed upon our approval. For services that do not require registration, the User may begin using the Service immediately upon agreeing to these Terms.

Article 3 (Fees and Payment)

The Service is available free of charge as a basic offering; however, certain parts of the Service may be offered on a paid basis. Users shall pay the fees displayed on our website or application, as separately determined by us, using the payment method designated by us.

Article 4 (Prohibited Activities)

Users shall not engage in any of the following activities when using the Service:

  • Activities that violate laws or public order and morals
  • Activities related to criminal acts
  • Activities that infringe copyrights, trademarks, or other intellectual property rights contained in the Service
  • Activities that destroy or interfere with the server or network functions of us, the Service, other users, or any third party
  • Commercial use of information obtained through the Service
  • Activities that may interfere with the operation of the Service
  • Unauthorized access or attempts thereof
  • Collecting or accumulating personal information of other users
  • Using the Service for fraudulent purposes
  • Activities that cause disadvantage, damage, or discomfort to other users or third parties
  • Impersonating other users
  • Unauthorized advertising, promotion, solicitation, or commercial activities on the Service
  • Activities aimed at meeting strangers of the opposite sex
  • Activities that directly or indirectly provide benefits to antisocial forces in connection with the Service
  • Any other activities deemed inappropriate by us

Article 5 (Suspension of Service)

  1. We may suspend or interrupt all or part of the Service without prior notice to Users if we determine that any of the following reasons exist:
    • When performing maintenance or updates on the computer systems for the Service
    • When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
    • When computers or communication lines are stopped due to an accident
    • When we otherwise determine that provision of the Service is difficult
  2. We shall not be liable for any disadvantage or damage suffered by Users or third parties due to the suspension or interruption of the Service.

Article 6 (Usage Restrictions and Deregistration)

  1. We may, without prior notice, restrict all or part of the User's use of the Service or deregister the User if the User falls under any of the following:
    • Violation of any provision of these Terms
    • Discovery of false information in registration details
    • Non-payment of fees or other obligations
    • Failure to respond to communications from us within a certain period
    • No use of the Service for a certain period from the last use
    • Any other case where we deem the use of the Service inappropriate
  2. We shall not be liable for any damage caused to the User by actions taken under this Article.

Article 7 (Disclaimer of Warranties and Limitation of Liability)

  1. We do not warrant, either expressly or implicitly, that the Service is free from defects in fact or law (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, or infringement of rights).
  2. We shall not be liable for any damage caused to Users arising from the Service, except in cases of willful misconduct or gross negligence.
  3. We shall not be liable for any transactions, communications, or disputes between the User and other users or third parties.

Article 8 (Changes to Service Content)

We may change, add to, or discontinue the content of the Service with prior notice to Users, and the User agrees to this.

Article 9 (Changes to Terms of Service)

  1. We may change these Terms without the individual consent of Users in the following cases:
    • When the change to these Terms conforms to the general interests of Users
    • When the change to these Terms does not conflict with the purpose of the service agreement and is reasonable in light of the necessity of the change, the appropriateness of the content after the change, and other circumstances
  2. When changing these Terms, we will notify Users in advance of the change, the content of the revised Terms, and the effective date by posting within the Service or on our website, or by other appropriate means.

Article 10 (Handling of Personal Information)

Personal information acquired through the use of the Service shall be handled appropriately in accordance with our Privacy Policy.

Article 11 (Notices and Communications)

Notices and communications between the User and us shall be made by the method determined by us. Unless the User submits a change notification in the manner separately prescribed by us, we will consider the currently registered contact information to be valid and send notices or communications to that contact, which shall be deemed to have reached the User at the time of dispatch.

Article 12 (Prohibition of Assignment)

The User may not assign or pledge their contractual status or any rights or obligations under these Terms to a third party without our prior written consent.

Article 13 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over our location.
